About the service
ValuationFlow is operated by Martinaitis Ventures, a UK sole-trader business. ValuationFlow provides business software for construction contractors and subcontractors to manage projects, Applications for Payment, certification, variations, retention, project costs, commercial evidence, cash-flow information and related records. The service is intended for users acting for business purposes.
Not professional advice
ValuationFlow is a record-keeping and workflow tool. It does not provide legal, tax, accounting, contractual, quantity-surveying or other professional advice. Users remain responsible for checking project figures, contractual dates, notices, certificates, VAT/CIS treatment, retention terms, payment obligations and exported documents before relying on or submitting them.
A status, reminder, forecast, AI explanation or client action recorded in ValuationFlow does not by itself determine the legal effect of a payment notice, certificate, variation, instruction or other contractual document. Legal effect depends on the relevant contract, facts and applicable law.
Accounts and authorised users
You must provide accurate information, keep login credentials and verification codes secure, and ensure only authorised people use your account. You are responsible for activity carried out through your account unless caused by a failure of ValuationFlow's own security controls.
You must not misuse the service, attempt unauthorised access, interfere with security controls, upload malware, probe another customer's data, use the service unlawfully or use it to infringe another person's rights. We may restrict or suspend access where reasonably necessary to protect the service, users or third parties from misuse, fraud or security risk.
Your projects, contacts and documents
You remain responsible for the business and project information you enter or upload. You must have the authority and any necessary lawful basis to upload or share personal data, contracts, certificates, supplier invoices, receipts, photographs and other evidence through ValuationFlow.
You retain ownership of your content. You grant Martinaitis Ventures only the limited rights needed to host, process, transmit, back up and display that content to provide, secure and support ValuationFlow and the features you choose to use.
You should keep independent copies of records that your business is legally, contractually or operationally required to retain. ValuationFlow is not intended to be your only statutory or contractual archive.
Secure client approval links
You can create secure links that allow a client or other authorised contact to review a specific Application for Payment, view permitted evidence and record a certification decision or comment without creating a ValuationFlow account. You are responsible for sending those links only to the intended authorised recipient and revoking or reissuing them when appropriate.
ValuationFlow records the action taken through the link and associated audit information. You remain responsible for deciding whether that action satisfies the requirements of your contract or applicable law.
AI features
AI features are optional and are designed to reduce manual entry by suggesting extracted fields, explanations and draft correspondence. AI outputs may be incomplete, inaccurate or unsuitable. They are not automatically treated as authoritative financial records and should be reviewed before acceptance or use.
You must not rely on an AI-generated explanation or draft as legal, tax, accounting or contractual advice. Where an AI feature suggests information from an uploaded document, the original document and your own verification remain the source you should check.
Accounting integrations and invoices
If you connect Xero, QuickBooks Online or Sage Accounting, ValuationFlow can prepare or create accounting records from reviewed certified amounts. You are responsible for checking the customer mapping, account/item mapping, VAT, domestic reverse charge, CIS and other accounting treatment before issuing or relying on an invoice.
QuickBooks and other providers may use different draft or ledger semantics. ValuationFlow does not promise that a remote accounting record is legally or tax-final merely because a sync succeeds. Payment-status information imported from an accounting provider is advisory until you review and record the relevant payment state in ValuationFlow.
Project costs and supplier evidence
Project Costs can be used to record supplier invoices, receipts and expenses and to attach supporting evidence. These records are provided for project-management and reconciliation purposes and do not replace your accounting records, VAT evidence requirements or obligations to retain original documents where required.
Trial and subscriptions
New accounts receive a 14-day free trial with no card required. After the trial, continued access requires a paid subscription. The launch price is £9.99 per month for the first 50 paying customers. The standard monthly price is £19.99 unless a different price is clearly shown before purchase.
Paid subscriptions renew monthly until cancelled. You can manage or cancel an active subscription through the billing-management option in your account when available. Cancellation stops future renewals; access may continue until the end of the paid billing period unless the subscription is ended immediately as part of account deletion or another required action.
Payments and refunds
Payments are processed by Stripe. Prices and any applicable taxes are shown before payment. Except where required by law or expressly agreed otherwise, subscription charges already paid are not refundable merely because the service was not used for part of a billing period.
Third-party services
ValuationFlow depends on third-party services for functions such as hosting, email delivery, payment processing, optional AI and optional accounting integrations. Your use of a third-party account may also be subject to that provider's terms. We are not responsible for changes or outages in a third-party service that are outside our reasonable control, although we will take reasonable steps to keep ValuationFlow usable where a non-essential integration is unavailable.
Availability, maintenance and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, security work, infrastructure incidents, third-party outages or events outside our reasonable control may temporarily affect access.
We may make reasonable changes to ValuationFlow to improve security, reliability, usability or functionality. If a change would materially remove a core paid feature, we will take reasonable steps to give affected paying customers appropriate notice where practicable.
Suspension and termination
You may stop using ValuationFlow at any time. We may suspend or terminate an account for material breach, unlawful use, non-payment, fraud, abuse or serious security risk. Where reasonably possible, we will give notice and an opportunity to remedy a breach before permanent termination.
Before closing an account, you should export any records you need to retain. Following account closure or deletion, service data may be deleted or anonymised in accordance with our Privacy Policy, subject to legal, accounting, security and dispute-resolution retention requirements.
Intellectual property
ValuationFlow, its software, branding, interface and materials supplied by us remain the property of Martinaitis Ventures or its licensors. These terms give you a limited, non-exclusive right to use the service for your business while your account is permitted to access it. They do not transfer ownership of ValuationFlow's software or branding.
Liability
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the paragraph above and to the extent permitted by law, ValuationFlow is not responsible for indirect or consequential losses, or loss of profit, revenue, business, anticipated savings or opportunity arising from use of the service. Our total aggregate liability arising out of the service is limited to the subscription fees you paid for ValuationFlow during the 12 months before the event giving rise to the claim.
Privacy and data processing
Our Privacy Policy explains how Martinaitis Ventures handles personal data for account administration, security, support and other purposes for which it acts as a controller. Where we process personal data contained in your business records on your behalf, you remain responsible for your own data-protection obligations and instructions. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory legal rights that cannot be excluded by agreement.
